　　招标方特定承包方为其在我国的全权负责采购代理，购置招标方规定的合理合法商品。

　　(1) 招标方需要的购置业务流程应递交给承包方详尽的询价单，例如材料、规格、总数、质量等主要规定，承包方须在7日内给予产品报价单给招标方(若遇特殊情况和不可抗拒力要素以外)。 (2) 招标方立即下定单给承包方，由甲方全权处理从接单子到交货服务项目。包含找寻招标方必须的试品及其物件，为招标方抽样、查验、交货等事项。

　　(3) 承包方应确保所购买设备的合理合法及其确保商品合乎客户订单的规定。 4. 钱款的付款方式

　　招标方宣布提交订单给承包方后，须在2个工作中日内付款购置总金额的---%订金给承包方以便购置，交货时，承包方须给予合理提货单给招标方，甲方在2个工作中日内付款剩下的钱款给承包方，钱款须汇到承包方特定金融机构。

　　5. 提成的测算、计付方法、计付时长： commission

　　招标方允许依照每单购置税票总额度的------%付款提成给承包方，在交货后的??天内汇到承包方特定金融机构。

　　(1) 招标方若不按保证合同第5条的实行，贷款逾期一天应付款承包方税款滞纳金，滞纳金指数为：总提成的5‰/天。 8. 协议书的改动 modification

　　此协议书仅有经彼此一同签名后能够作改动，

　　this agreement may not be modified except by amendment reduced to writing and signed by both parties. no waiver of this agreement shall be construed as a continuing waiver or consent to any subsequent breach thereof. 8. 不可抗拒 force majeure

　　因为洪水灾害、火灾事故、地震灾害、旱灾、战事或协议书一方没法预料、操纵、防止和解决的其它事情造成不可以或目前不可以整个或一部分执行本协议书，该方逃避责任。可是，受不可抗力事件危害的一方须尽早将产生的事情通知另一方，并在不可抗力事件产生15日内将相关组织提供的不可抗力事件的证实寄交另一方。

　　either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. however, the party affected by the event of force majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. 8. 诉讼 arbitration

　　因执行本协议书所出现的一切异议应根据友善商议处理。如商议不可以处理异议，则应将争议递交我国国际经济合作监察委员会(北京市)，根据其仲裁规则开展诉讼。仲裁裁决是终结的，对彼此都是有约束，诉讼花费，除另有明文规定外，由输了官司一方压力。

　　all disputes arising from the performance of this agreement shall be settled through friendly negotiation. should no settlement be reached throught negotiation, the case shall then be submitted for arbitration to the china international economic and trade arbitration commission (beijing) and the rules of this commission shall be applied. the award of the arbitration shall be final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded. 10. 协议书有效期限 validity of agreement

　　本协议书经相关彼此按期签定后起效，有效期限为 年，从 年 月 日到 年 月 日。 this agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from october 1, 1992 to september 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary. 12. 协议书的停止 termination

　　在本协议书期限内，假如一方被发觉违反协议书条文，另一方有权利终止协议。

　　during the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

　　13. 本协议书于 年 月 日上海市区签署，一式两份，彼此各执一份。佣金协议应与采购单与此同时具有才可以起效，传真件具备同样法律效力。
